The undersigned (“Buyer”) hereby agrees to purchase from Vermont Business Magazine (“VBM”), and VBM agrees to sell to Buyer the data described in the Subscription Agreement. The purchase price for the data, as described in the Subscription Agreement, includes sales tax and shipping costs, within the Continental United States only, if any.

Buyer agrees that it shall use the data only for its own purposes and shall not re-sell, share, lend, or in any other way convey or distribute the data in any form without the express prior written consent of VBM.

In the event Buyer breaches this agreement by way of re-sale or other prohibited distribution of the data, VBM shall be entitled to injunctive relief, compensatory damages, and/or liquidated damages of not less than Ten Thousand Dollars ($10,000.00), together with reasonable attorneys’ fees incurred in enforcing this Agreement and/or collecting such damages.

Buyer expressly acknowledges that precise calculation of compensatory damages in the event of such breach may be difficult, and that the liquidated damage amount set forth above is a reasonable minimum calculation of such damages.

By accepting this agreement, the Buyer also accepts that they are purchasing data and information only from VBM. This agreement does not endorse, imply, or provide any technical support services on the part of VBM to the Buyer for the data’s use.
